| Description | In commercial companies, extrastatutory agreements of shareholders are often concluded. The purpose of such agreements is to regulate the mutual rights and obligations of shareholders outside the company statutory document itself. Given that the nature of these arrangements is primarily obligatory, the question arises as to whether and when such arrangements can produce statutory effects. The presentation focuses on the question whether a shareholder agreement on a different way of determination of the settlement amount or its maturity may have statutory effects and whether such a procedure has any limits (eg in case of waiving the right to settlement amount, in case of obviously inadequate amount or in the case of a completely informal calculation method). |
