| Description | The Paper contains the basic characteristic of holding as corporate group and a description of the development of their legislation since 1996, i.e. since the release of the Act No. 142/1996, the Commercial Code, to the present. Chapter about Commercial Code is focused on contractual holding and factual holding, knowledge of the public and shareholders, an agreement on dominant influence and contract about a transfer of profits, chapter dedicated to Business Corporation Act is focused on differences between influencing and controlling of parent company and holding and beside that on rights and obligations of members of the holding. In conclusion, the EU law is briefly mentioned. |
