| Description | The chapter deals with the protection of specific groups of people in corporate law, analyses a regulation of minority shareholders. A protective function is usually linked with this regulation and it is interpreted as set of measures which should compensate natural limits of shareholder's minority. In this perspective, minority shareholders are perceived as a group of shareholders whose weaker position is presumed, however, neither the reasons of the existence of this shareholders' group nor its function in the company is usually analyses. What kind of benefits the minority shareholders bring to the company, whether they should be protected by a special statutory rules and what are the trends of further statutory regulation, these are the questions which remain opened for further discussion. |
