| Description | The Business Corporation Act limits member‘s right to sue in a court of law for invalidity of a general meeting resolution by an objection against general meeting resolution. The Czech legal order did contain similar provision in the past that was applicable to a cooperative, it was however abandoned by the Business Corporation Act. The aim of this paper is to analyse the legal concept of the objection, to detect its problems and to resolve these problems with regard to applicability of the existing case law of the Czech courts on the objection provisions relating to the cooperative to the new provisions governing the capital companies. |
