Description The non-compete obligation negatively expresses a minimum standard of loyalty and is a derivative of good morals and a manifestation of the contractual basis of the corporation. The law allows for great variability in the prohibition, and the amended law has brought considerable liberalization to the law. The liberality of the regulation is matched by the possibility of extending the non-compete obligation beyond the end of any corporate legal relationship of the person bound to the company. Breach of the non-compete clause can meet all the elements of unfair competition. Non-compete clauses should generally be interpreted rather restrictively as restrictions on business activity.
