Description On July 1, 2026, the amendment to Act No. 418/2011 Coll., on the criminal liability of legal persons and proceedings against them (hereinafter referred to as "ZTOPO") came into force, which brings the possibility of conditional waiver of criminal prosecution to legal persons. The amendment to ZTOPO is part of a major amendment to criminal regulations implemented by Act No. 270/2025 Coll. and introduces a new type of diversion from criminal prosecution for legal persons in Section 37b of ZTOPO - conditional waiver of criminal prosecution (hereinafter referred to as "PUTS"). In their contribution, the authors analyze the legal conditions of PUTS and the essential factors for negotiating PUTS.
