| Description | The paper considers a possibility to apply the bussines judgment rule in the czech legal regulation of the legal statut of members of board of directors of a stock corporation. This rules bring major legal certainty for the directors, because they associate their liability for damage with quantity of effort made by performance of their duties in face of corporation. The bussines judgment rule is a stabilized collection of standards which allows consider correctly their steps by undertaking of business of corporation. Applying the bussines judgment rules judicial review does not infringe upon the deliberative autonomy of directors. The investors would on the contrary get rid of the directors which act irresponsible at break the rules. Negative turned up this applying of the bussines judgment rules cab be a tendency support every decision with proofs beyond a reasonable doubt. |
